Terms of Service

1. The Service

SteelFolio is a collection-management platform for knife collectors. The Service allows you to catalog knives and related information; upload photos, receipts, and other documentation; record condition audits; track values and market comparables; generate insurance documentation and appraisal-style PDF reports; and export your data.

1.1 Covered item categories. SteelFolio is designed primarily for knife collectors today. We may expand the item categories supported by the Service over time — for example, pens, multi-tools, pry bars, and watches — without requiring a new agreement; these Terms apply to any item category we make available in the Service from time to time. For clarity, SteelFolio does not support, and will not add without a materially updated agreement and appropriate compliance review, firearms or other items subject to serial-number registries or specialized regulatory regimes.

1.2 Not a marketplace. SteelFolio is a private documentation and collection-management tool, not a marketplace. We do not process, facilitate, or take any part in the sale, purchase, trade, or transfer of knives or any other item. Features that let you label an item as available, share an asking price, or record a buyer or seller handle are provided solely for your own recordkeeping and for informal sharing with other users. Any resulting sale or transfer takes place entirely off the Service, directly between the parties involved, at their own risk. Payments processed through the Service are solely for SteelFolio subscription fees and related billing, never for the sale of any item.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that you meet these requirements. The Service is offered for personal, non-commercial collection management unless we agree otherwise in writing.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide an accurate email address and to keep it current, as we use it for essential account communications such as password resets and billing notices. We offer optional two-factor authentication and recommend you enable it. Notify us promptly at hello@steelfolio.app if you suspect unauthorized use of your account.

4. Plans, Fees, and Billing

4.1 Free plan ("Keeper"). The free plan includes up to 25 knives, with up to 4 attachments per knife (3 photo slots plus 1 dedicated receipt slot). It does not include PDF report generation. Free-plan limits may change, but we will not reduce limits in a way that deletes your existing data.

4.2 Paid plan ("Collector"). The Collector plan is offered at $9 per month or $79 per year and includes up to 250 knives, up to 10 attachment slots per knife (any mix of photos, receipts, certificates of authenticity, or appraisal documents), unlimited PDF exports, and all Keeper features. Additional paid tiers (such as an "Asset" tier) may be offered in the future under pricing and terms disclosed at the time.

4.3 Billing and renewal. Paid subscriptions are billed in advance through our payment processor, Stripe. Your subscription renews automatically at the end of each billing period, monthly or annually depending on the plan you choose, and your payment method is charged the then-current price for the next period unless you cancel first. You may cancel at any time from your account settings, and cancellation takes effect at the end of the current billing period. You keep paid features until that period ends. Before an annual subscription renews, we send a reminder to your account email with the renewal date and amount. We do not store your full payment card details, and Stripe processes payments under its own terms and privacy policy.

4.4 Refunds. Except where required by law, fees are non-refundable. New subscribers may request a full refund within 14 days of their first paid charge by contacting hello@steelfolio.app.

4.5 Price changes. We may change subscription prices with at least 30 days' advance notice by email. Changes apply at your next renewal. If you do not agree, cancel before renewal.

4.6 Taxes. Quoted prices exclude applicable taxes. Where we are required to collect sales tax (including Washington sales tax on software services), it will be added at checkout.

4.7 Concierge import services. We offer optional one-time data-import services (currently $49 for up to 25 knives, $99 for 26–75 knives, custom quote above that). These are one-time service fees, non-recurring, and require you to provide your data in a usable format. Fees are payable before work begins.

4.8 Complimentary and founding-member accounts. We may grant free or discounted access at our discretion. Such access is a courtesy, may carry different limits, and may be modified or withdrawn with reasonable notice.

4.9 Downgrades. If you downgrade or your subscription lapses, content exceeding your new plan's limits is not deleted, but you may be unable to add new items or attachments until you are within the limits of your current plan. Export remains available at all times (see Section 5.4).

5. Your Content

5.1 Ownership. You retain all rights to the content you submit — collection records, photos, receipts, documents, and notes ("Your Content"). We claim no ownership of Your Content.

5.2 License to us. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, resize, back up, display, and transmit Your Content solely as needed to provide the Service to you (for example, generating thumbnails, producing your PDF reports, and creating your export files). This license ends when Your Content is deleted from the Service, except for residual copies that may persist in encrypted, immutable backups for up to approximately 12 months, as described in our Privacy Policy, after which they are automatically purged.

5.3 Your responsibilities. You are solely responsible for Your Content, including its accuracy. You represent that you own or have the right to upload Your Content and that it does not infringe anyone's rights. Values, condition assessments, purchase details, and provenance information you enter are your own statements — insurers, buyers, and other parties will rely on what you record, so record it accurately.

5.4 Data portability. You can export your complete collection data and uploaded files at any time, on any plan, at no charge, using the built-in backup feature. We will never hold your data hostage: export is not gated behind a paid plan and is not restricted at cancellation.

5.5 Community contributions. Some features let you contribute information to shared community datasets. If you log a sale you observed, that entry is visible to other users under your username or a display alias you choose, and you are responsible for its accuracy. If you turn on collection-data contribution in Settings, which is off by default, we use that information only in aggregated or de-identified form and never show your name, email, photos, or documents.

You grant us a license to use, display, and create aggregated or de-identified data from your community contributions to run and improve the Service and any features built on that data, and we may keep and use de-identified, aggregated data even after you delete your account. Our Privacy Policy explains how this data is handled.

6. Not Professional Advice — Important Disclaimers

6.1 Not a formal appraisal. SteelFolio is a documentation tool. PDF reports generated by the Service — including "appraisal"-style reports — are compilations of information you entered. They are not formal appraisals, are not prepared by a certified appraiser, and are not endorsed by any insurer or appraisal organization. They are not a substitute for a valuation or appraisal performed by a licensed or certified professional appraiser, and you should not rely on them as one.

6.2 No insurance, legal, financial, tax, or estate-planning advice. Nothing in the Service constitutes professional advice. Value estimates, market comparables, condition scores, and estate-planning features are informational tools only. Whether an insurer accepts your documentation, and on what terms, is solely between you and your insurer. Consult qualified professionals for insurance, legal, tax, valuation, and estate matters.

6.3 Market data. Any market comparable or pricing information surfaced in the Service is provided as-is, may be incomplete or outdated, and is not a representation of the value of any item.

7. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose, including documenting items you do not lawfully possess; (b) upload content that is infringing, unlawful, or malicious (including malware); (c) attempt to access other users' accounts or data; (d) probe, scan, disrupt, or overload the Service, or circumvent rate limits or security measures; (e) scrape or bulk-harvest data from the Service; (f) reverse engineer, copy, resell, or sublicense the Service; (g) misrepresent SteelFolio-generated documents as certified appraisals or as endorsed by SteelFolio, any insurer, or any appraiser; or (h) use the Service to advertise, negotiate, process, or otherwise conduct the sale, trade, or transfer of any item (see Section 1.2) — the Service is for documentation and informal sharing only, and any such transactions occur solely between Users, off-platform, at their own risk.

You are responsible for complying with laws applicable to you, including laws governing knife ownership, possession, sale, and transfer, and the ownership, possession, sale, and transfer of any other items you catalog in the Service, in your jurisdiction.

8. Intellectual Property

The Service, including its software, design, text, graphics, and the SteelFolio name and logo, is owned by SteelFolio LLC or its licensors and protected by intellectual-property laws. SteelFolio and the SteelFolio logo are trademarks used by SteelFolio LLC to identify the Service. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. Feedback you provide may be used by us without obligation to you.

9. Third-Party Services, Marketplaces, and Links

The Service relies on third-party providers, including Render (hosting), Stripe (payments), and Resend (transactional email). Their availability affects ours, and their terms govern their handling of data they process. We are not responsible for third-party sites or services linked from the Service.

The Service may link to third-party marketplaces and community sites, such as auction listings and collector forums, so you can research items or buy and sell on your own. Those sites are run by others. We do not operate them, screen their listings, or take part in any transaction you enter with a third party or another user. Your dealings with any third party, including payment, delivery, authenticity, and the condition of any item, are solely between you and that party. We are not responsible for any loss arising from those dealings, and you release SteelFolio from claims connected to them.

If the Service hosts user posts, comments, or shared content, you are responsible for what you submit, and we may remove content or suspend access at our discretion. We are not liable for content that other users provide.

10. Termination

10.1 By you. You may delete your account at any time from the Settings page. Deletion is immediate and permanent from our live systems and removes your account and Your Content from production, subject to residual copies in encrypted, immutable backups that persist for up to approximately 12 months before automatic purge, as described in our Privacy Policy. Export your data first — deletion cannot be undone.

10.2 By us. We may suspend or terminate your account for violation of these Terms, non-payment, legal requirement, or extended inactivity of free accounts (with at least 30 days' email notice for inactivity), suspected fraudulent, abusive, or bad-faith use of the Service (including use inconsistent with the personal, non-commercial purpose described in Section 2), or disproportionate consumption of resources on any plan marketed with unlimited or uncapped features where such use materially exceeds typical individual usage and imposes unreasonable cost or load on the Service. We may also suspend or terminate accounts, or restrict access to the Service generally, at our sole discretion, with or without cause, upon reasonable notice, except that no notice is required where we suspect illegal activity or illegal content, in cases of serious abuse, or where notice would be impractical or inappropriate under the circumstances. If we terminate a paid account without cause, we will refund the unused portion of your prepaid subscription. Where practical, we will provide notice and an opportunity to export your data before termination, except in cases of serious abuse.

10.3 Service discontinuation. If we discontinue the Service, we will provide at least 60 days' notice and keep the export feature available during that period.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY REPORT GENERATED BY THE SERVICE WILL BE ACCEPTED BY ANY INSURER OR OTHER PARTY. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS USING THE EXPORT FEATURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEELFOLIO LLC AND ITS MEMBERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR DENIED INSURANCE CLAIMS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) $50. Some states do not allow certain limitations, and in those states our liability is limited to the fullest extent the law allows. Nothing in these Terms limits liability for fraud, willful misconduct, or gross negligence, or any other liability that cannot be waived under applicable law.

13. Indemnification

You will indemnify and hold harmless SteelFolio LLC and its members from any third-party claim, and from the resulting damages and reasonable attorneys' fees, that arises from Your Content, your violation of these Terms, or your violation of law or the rights of another. We will notify you of the claim, let you control the defense with counsel of your choice, and cooperate at your expense. You may not settle a claim in a way that places any obligation on SteelFolio without our written consent.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. Except for disputes sent to arbitration or small claims as described below, venue lies in the state or federal courts located in Thurston County, Washington, and each party consents to their jurisdiction.

14.1 Informal resolution first. Before starting arbitration, you agree to contact us at hello@steelfolio.app and give us 30 days to work the issue out. Most disputes end here.

14.2 Binding individual arbitration. If the dispute is not resolved, you and SteelFolio agree to settle it by binding individual arbitration administered by a recognized arbitration provider under its consumer rules, rather than in court. The arbitrator decides all issues, except that either party may bring a qualifying individual claim in small-claims court.

14.3 Class-action waiver. You and SteelFolio agree to bring claims only in an individual capacity, and not as a plaintiff or member in any class, collective, or representative action. The arbitrator may not combine more than one person's claims.

14.4 Your right to opt out. You may opt out of this arbitration agreement by emailing hello@steelfolio.app within 30 days after you first accept these Terms. If you opt out, this dispute section does not apply to you and the court venue above governs. Opting out does not affect any other part of these Terms.

15. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email or in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your account as described in Section 10.1.

16. General

16.1 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and SteelFolio about the Service and replace any earlier understanding on the subject.

16.2 Severability. If any part of these Terms is held invalid or unenforceable, that part is limited or removed to the least extent needed, and the rest stays in effect.

16.3 Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor in a merger, acquisition, or sale of assets. This agreement binds and benefits each party's permitted successors.

16.4 Waiver. If we do not enforce a provision, that is not a waiver of the right to enforce it later.

16.5 Force majeure. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including outages of our hosting or payment providers, network failures, or acts of nature.

16.6 Notices. We give you notice by email to your account address or by in-app message. You send notice to us at hello@steelfolio.app.

17. Copyright Complaints

If you believe content on the Service infringes your copyright, send a notice to hello@steelfolio.app that identifies the work, points to the material you say infringes it, gives your contact information, and states that you have a good-faith belief the use is not authorized. We respond to proper notices and may remove the material. If your content was removed, you may send a counter-notice to the same address.
